Increasingly, designers of products that involve software (including web applications) are being asked to sign contracts containing explicit language that obligates the design firm to indemnify its client against the present and future infringement of any and all third party rights pertaining to trademark, copyright and patent. To sign or not to sign? Confronted with this dilemma, an ad hoc group of West Coast firms united to educate themselves and their clients as to the potent ramifications and potential financial liability of this simple language.
